Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Simple Investor app or website (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

The Service is provided by CleanWhale Sp. z o.o., ul. Złota 59, 00-120 Warszawa, Poland ("Company", "we", "us").

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Service. By using the Service you represent that you meet this requirement. The Service is not available to persons who have previously been suspended or removed from the Service by us.

3. Account Registration

To use the Service you must create an account with a valid email address and password. You are responsible for:

• Keeping your login credentials confidential
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@simpleinvestorapp.com

You may not share your account with others or create accounts for others without their consent. We reserve the right to disable accounts that violate these Terms.

4. The Service

Simple Investor provides:

• A dashboard for manually tracking cryptocurrency and stock holdings
• Real-time market price data sourced from third-party providers
• AI-generated market commentary and analysis ("Insights")
• Configurable price change alerts with push notifications
• Historical scenario simulations ("Simulator")

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible. We are not liable for any modification, suspension, or discontinuation.

5. No Financial Advice

The Service is provided for informational and educational purposes only. Specifically:

• AI-generated Insights are automated commentary based on publicly available information. They are not personalized financial advice.
• Scenario Simulations are hypothetical models based on historical data. Past performance does not predict future results.
• Price alerts are technical notifications and do not constitute buy or sell recommendations.
• The Company is not a regulated investment firm under MiFID II or any other financial regulation.

Any investment decision you make based on information from the Service is made at your own risk. You should consult a licensed financial advisor before making investment decisions.

6. Market Data Accuracy

Price data is sourced from third-party market data providers. While we strive for accuracy:

• Data may be delayed by up to 15 minutes during high-traffic periods
• Data feeds may occasionally be interrupted or contain errors
• Cryptocurrency markets operate 24/7 and prices are highly volatile

We do not warrant the accuracy, completeness, or timeliness of any market data. Do not make financial decisions based solely on data displayed in the app.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations
• Attempt to reverse-engineer, decompile, or disassemble the app
• Circumvent, disable, or interfere with security features
• Scrape, harvest, or extract data from the Service through automated means
• Use the Service to transmit malware, spam, or other harmful content
• Impersonate any person or entity
• Violate any third party's intellectual property rights
• Engage in market manipulation or any activity prohibited by securities laws

8. Subscriptions and Payments

The Service is currently free to use. If we introduce premium features or subscriptions in the future:

• Pricing will be displayed clearly in the App Store before purchase
• Subscriptions will auto-renew unless cancelled at least 24 hours before the renewal date
• Cancellation and refund requests are handled through Apple's App Store according to Apple's policies
• We reserve the right to change pricing with 30 days' advance notice to existing subscribers

9. Intellectual Property

All content in the Service — including the app, its source code, design, text, graphics, logos, and AI-generated Insights — is owned by or licensed to CleanWhale Sp. z o.o. and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes only. You may not copy, reproduce, distribute, sell, or create derivative works from any content in the Service without our written consent.

You retain ownership of the portfolio data you enter. By entering data, you grant us a limited license to process and store it in order to provide the Service.

10. Third-Party Links and Services

The Service may contain links to third-party websites or services. We are not responsible for their content, privacy practices, or terms. Accessing third-party services is at your own risk.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• MARKET DATA WILL BE ACCURATE, COMPLETE, OR CURRENT
• AI-GENERATED INSIGHTS WILL BE CORRECT OR SUITABLE FOR YOUR SITUATION
• ANY DEFECTS WILL BE CORRECTED

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEANWHALE SP. Z O.O. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• ANY INVESTMENT LOSSES OR FINANCIAL HARM RESULTING FROM USE OF THE SERVICE
• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF DATA, PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES
• SERVICE INTERRUPTIONS OR DATA ERRORS

IN JURISDICTIONS THAT DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ANY CASE, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR €50 IF YOU HAVE NOT MADE ANY PAYMENTS).

13. Indemnification

You agree to indemnify and hold harmless CleanWhale Sp. z o.o. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

14. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account (see Account Deletion). We may terminate or suspend your account immediately, without notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 5, 9, 11, 12, 13, and 15.

15. Governing Law and Disputes

These Terms are governed by the laws of Poland, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

If you are a consumer in the EU, you may also benefit from mandatory consumer protection laws in your country of residence that cannot be excluded by contract.

16. Changes to Terms

We may update these Terms at any time. For material changes, we will notify you via push notification or email at least 14 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service and delete your account.
